Terms of Service
These terms govern the use of Rival and the purchase of a plan. Rival is for professionals only. By creating an account, you accept them.

These terms are written in French. The English version is a translation: if the two differ, the French version prevails.
1. Publisher and host
The Rival service (the “Service”) is published by Riad Mahi, sole proprietor (French “entrepreneur individuel”) trading as Rival, registered in the French national business register under SIREN 918 773 755 (SIRET 918 773 755 00023, VAT FR26918773755), with its registered office at 74 allée des Ifs, 73220 Aiton, France (“Rival”, “we”).

2. Purpose of the Service
Rival is an AI employee for e-commerce and SaaS teams: every day it reads your market from public sources and the accounts you connect, and brings you reasoned decisions, with the proof. Depending on the plan, it can also prepare or execute actions in your store, at your request or under rules you configure.
These terms (the “Terms”) form the contract between you and Rival. They apply to any use of the Service, free or paid, and are completed by the privacy policy.
3. Account and eligibility
- Professionals only. You confirm that you use Rival on behalf of a company or an organization, or as part of your professional activity, and that you are at least 18. The Service is not offered to consumers.
- Passwordless sign-in. Access works with a code or a link sent to your email address. You are responsible for the security of that address and for everything done from your account.
- Workspaces. A workspace owner binds the business they act for, invites members and answers for their use. A member acts under the owner’s responsibility.
- Accuracy. You agree to provide accurate information and keep it up to date.
4. Plans and prices
Rival offers a free plan and three paid plans, per workspace. Prices are in euros excluding tax; the applicable VAT is added at payment according to your country and VAT number.
- Free: free, no credit card. Brand reading, competitor suggestions, up to 3 followed competitors and one revealed decision per day.
- Watch: €79 per month, or €63 per month billed yearly (€756 per year).
- Execute: €149 per month, or €119 per month billed yearly (€1,428 per year).
- Automate: €299 per month, or €239 per month billed yearly (€2,868 per year).
What each plan unlocks (competitors, watched pages, refreshes, actions, MCP connection) is detailed on the pricing page and in the app. Features marked “coming soon” are not yet owed. Rival may offer revocable tester codes or trial credits, which create no right to a paid plan.
5. Billing and payment
- Stripe. Payments are handled by Stripe. Rival never sees or stores your card numbers. You agree to receive your invoices electronically.
- Billing period. A paid plan is billed in advance, monthly or yearly as you choose, and renews automatically for the same period until you cancel.
- Failed payment. If a payment fails, Stripe retries it. Without settlement, the workspace loses access to the plan’s features and returns to the free plan limits, without losing your data.
- Plan change. You can move to a higher plan at any time; Stripe prorates the current period.
- Price changes. Rival may change its prices. The new price applies at your next renewal, at the earliest 30 days after we notify you by email. If you refuse it, cancel before the renewal.
6. Cancellation and refunds
You can cancel a paid plan at any time from Settings › Plan, then “Manage subscription”, which opens the Stripe customer portal. Cancellation takes effect at the end of the period already paid: you keep the plan until then, after which the workspace returns to the free plan.
The current period is not refunded, unless the law requires it or Rival is in breach. The free plan can be abandoned at any time by asking for the deletion of your account.
7. Fair use and limits
Each plan has limits: number of followed competitors and pages, manual refreshes per day, revealed decisions per day on the free plan, a daily AI budget per workspace, and 120 requests per minute for the MCP connection. Rival may slow down or temporarily interrupt a use that exceeds these limits or endangers the Service, and tells you so in the app.
8. API keys and MCP connection
- One key, shown once. An API key is displayed once when created; Rival keeps only a fingerprint and cannot recover it.
- Your responsibility. You keep your keys secret and answer for everything done with them. Revoke a compromised key immediately from the app.
- Scope. A key gives access to the data of its workspace, within the limits of the plan and of these Terms.
9. Prohibited uses
You agree not to:
- extract, copy or scrape the Service or its data in an automated way outside the intended API and MCP connection;
- resell, rent or redistribute the data or decisions provided by Rival, or integrate them into a competing service;
- use Rival for an unlawful or deceptive activity or one that infringes the rights of others, including to disparage a followed brand;
- connect a Shopify, Instagram or other platform account you do not own or are not authorized to use, or use Rival in breach of those platforms’ terms;
- attempt to bypass limits, protections or workspace isolation, or to disrupt the Service.
10. Nature of AI output
Rival’s decisions, summaries and answers are produced by artificial intelligence models from the cited sources. They are proposals: you review them, you decide, and you remain solely responsible for the actions you apply to your store, your campaigns or your prices.
Rival guarantees neither a commercial result, nor completeness, nor the absence of errors. Figures come from extractions or deterministic calculations; when they are marked as estimates, they must be read as such. When Rival finds a decision unfounded, it says so rather than inventing one.
Actions executed in your store (for example creating a discount code) only happen at your explicit request or under a rule you configured and can disable at any time.
11. Third-party data and connected platforms
Information about followed brands comes from public sources: their sites, their catalogs, ad libraries and social networks. It can be incomplete, outdated or blocked by the sites concerned; Rival shows you what it could and could not read, and does not guarantee completeness. You use it under your own responsibility and with respect for the rights of the brands concerned.
Shopify, Instagram and other connections depend on the platforms that provide them: their terms apply, and Rival is not liable for their interruptions or changes.
12. Intellectual property
- The Service: Rival, its brand, its code, its interface and its decision models remain the property of Rival. You receive a personal, non-exclusive and non-transferable right to use it for the duration of the contract.
- Your data: what you give Rival (brand, catalog, connections, messages) and the decisions you make belong to you. You grant us the right to process, host and pass it to our providers only to deliver the Service, for the duration of the contract. You can ask for a copy at any time.
- Your feedback: the suggestions you send us may be used freely to improve Rival, without obligation or compensation.
13. Confidentiality
Rival treats your workspace data as confidential: we access it only to deliver the Service, provide support or ensure security, and disclose it to no one other than the providers listed in the privacy policy, unless required by law. On your side, you keep your sign-in codes and API keys confidential.
14. Availability and support
Rival is provided as is and strives to remain available at all times, without a service level commitment. Maintenance, updates or incidents at our providers may interrupt it; we limit these interruptions and inform you when possible. The free plan carries no availability guarantee.
Support is available by email at support@rival.watch and from the “Feedback” button in the app. We answer as soon as we can, paid plans first.
15. Suspension and termination
- By you: you can cancel a paid plan at any time (section 6) and ask for the deletion of your account or of a workspace at support@rival.watch.
- By Rival: we may suspend or close an account that breaches these Terms, exposes the Service or third parties to a risk, or remains unpaid, after notifying you when the situation allows. In case of a serious breach, closure is immediate.
- Effects: at the end of the contract, your access stops and your data is deleted at your request or according to the retention periods of the privacy policy. Rival may also stop offering the Service with 3 months’ notice, and then refunds the unused part of a yearly subscription.
16. Liability
Rival is bound by an obligation of means. To the extent permitted by law, Rival’s total liability, whatever the cause, is limited to the amount you actually paid us in the 12 months preceding the event giving rise to the claim.
Rival is not liable for indirect damages: loss of revenue, margin, customers or data you did not back up, damage to reputation, or the business decisions you make from its proposals. Nothing in these Terms limits our liability in case of gross negligence, willful misconduct or bodily injury.
You hold Rival harmless against any third-party claim related to your use of the Service in breach of these Terms or of that third party’s rights.
17. Data protection
The details of the data processed, the providers, the retention periods and your rights are in the privacy policy, which is part of these Terms.
For the personal data you entrust to Rival in your workspace (for example in your conversations with the assistant), you are the controller and Rival is your processor within the meaning of Article 28 of the GDPR. As such, Rival:
- processes this data only on your documented instructions, that is, to deliver the Service;
- requires confidentiality from anyone authorized to access it;
- implements the security measures described in the privacy policy;
- uses only the sub-processors listed there and notifies you of any addition, with the option to object by cancelling;
- helps you answer requests from data subjects and meet your security and notification obligations;
- deletes or returns this data at the end of the contract, and makes available the information needed to demonstrate compliance with these obligations.
You warrant that you have a legal basis for the personal data you entrust to Rival.
18. Changes to the Terms
Rival may update these Terms. We notify you by email or in the app at least 30 days before a significant change takes effect. If you refuse it, cancel before that date; continuing to use the Service afterwards counts as acceptance. The date at the top of the page shows the version in force.
19. Governing law and disputes
These Terms are governed by French law. In case of disagreement we first look for an amicable solution: write to us at support@rival.watch. Failing agreement within 30 days, the courts of Chambéry have exclusive jurisdiction, including for interim measures and in case of multiple defendants.
As Rival is for professionals only, the consumer mediation scheme does not apply.

These Terms apply from to every new account and every renewal.
